1. About these terms

These terms are between Artificial Industries (UK) Ltd [to be confirmed] (company number [NUMBER], registered office [ADDRESS]) (“we”, “us”) and the organisation that signs up (“you”). The person who signs up confirms they can agree to them on the organisation's behalf. Conversationly is a business service; it isn't offered to consumers.

2. The service

Conversationly indexes the websites you add and answers visitors' questions from that content, through chat, search and other widgets on your site, along with the dashboard, reports and integrations described on this website. We may improve and change the service; we won't remove a core feature you pay for without telling you at least [30 days] in advance.

3. Your account

  • Keep sign-in details secure, and tell us promptly about any unauthorised use.
  • You're responsible for what people in your organisation do in the dashboard.
  • Agencies that manage sites for clients are responsible for having their clients' permission.

4. Trial, prices and payment

  • Each site starts with a 14-day free trial. Unless you cancel before it ends, the subscription starts and your card is charged.
  • The price is £99 a month per site, plus VAT. Each site adds 3,000 AI answers a month to your organisation's allowance, shared across all its sites. Answers beyond the allowance cost £1 per 100 AI answers, up to a monthly cap you set in the dashboard (£25 by default). When the cap is reached, AI answers pause until the next billing period or until you raise the cap.
  • If you use your own AI provider key, the site price stays the same, there's no charge for answers, and you pay that provider for its usage directly.
  • Subscriptions are billed monthly in advance through Stripe; usage beyond the allowance is billed in arrears. Invoices are available in the dashboard.
  • We may change prices with at least [30 days'] notice by email. The change applies from your next billing period after the notice ends.
  • If a payment fails and isn't resolved within [14 days], we may pause the widgets on your sites.

5. Cancelling

You can cancel any time in the dashboard. The service continues until the end of the period you've paid for; we don't refund part months, except where the law requires it.

6. Your content and data

  • You keep all rights in your website content, documents and conversations. You give us permission to use them only to provide the service to you.
  • You confirm you're allowed to have us index the content you add, and that it doesn't break anyone else's rights or the law.
  • We don't use your content or your visitors' conversations to train AI models.
  • For conversations with your visitors, you're the controller and we're your processor. Our [data processing agreement] forms part of these terms. You're responsible for telling your visitors about the chat in your own privacy notice. See our privacy policy for the providers we use.

7. AI answers

Answers are written by AI from your content and can be incomplete or wrong. They show their sources so visitors can check, and you control the topics, sources and instructions for each widget. You're responsible for deciding how answers are used on your site, and for checking anything with legal, financial, medical or safety consequences.

8. Acceptable use

You must not use Conversationly to:

  • break the law, or index content you don't have the right to use;
  • send spam, malware or harmful content, or harass anyone;
  • probe, overload or get around the service's security or usage limits;
  • resell the service without a partner agreement with us.

We may suspend a site that breaks these rules, and will tell you why unless the law stops us.

9. Availability and support

We aim to keep Conversationly available around the clock, but don't guarantee it will be uninterrupted. We give support by email at [support@conversationly.ai] during UK business hours.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law. Otherwise:

  • neither of us is liable for loss of profits, revenue, business or goodwill, or for indirect loss;
  • each party's total liability in any 12 months is limited to the fees you paid us in those 12 months [confirm cap].

11. Ending the agreement

Either of us may end the agreement if the other seriously breaks these terms and doesn't fix it within 30 days of being asked. When the agreement ends, you can export your data for [30 days]; after that we delete it, except billing records we must keep by law.

12. Changes to these terms

We may update these terms and will email you at least [30 days] before a significant change takes effect. If you don't agree, you can cancel before it does.

13. Law

These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
